Agreement to Terms

By accessing or using the services provided by Pedro IT Solutions ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Provided

Pedro IT Solutions provides professional IT services including but not limited to:

• Remote IT Support and Help Desk Services
• Private Cloud Hosting and Server Management
• Backup and Disaster Recovery Solutions
• Cybersecurity Services and Compliance Consulting
• Network Design and Management
• Custom Software Development
• Managed IT Services (MSP)
• IT Consulting and Strategy

Service Agreements

Specific services may require a separate Service Level Agreement (SLA) or Statement of Work (SOW) that outlines:

• Scope of services
• Pricing and payment terms
• Service level commitments
• Term and termination conditions

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us promptly of any security breaches
• Use our services in compliance with all applicable laws
• Pay for services as agreed upon
• Provide reasonable access to systems as needed for service delivery

Payment Terms

Invoicing: Services are billed as specified in your service agreement, typically monthly or upon project completion.

Payment Due: Payment is due within 30 days of invoice date unless otherwise agreed.

Late Payments: Late payments may incur a fee of 1.5% per month on the outstanding balance.

Accepted Methods: We accept major credit cards, ACH transfers, and checks.

Confidentiality

We understand the sensitive nature of your business information. We commit to:

• Maintaining strict confidentiality of all client data
• Not disclosing information to third parties without consent
• Implementing appropriate security measures
• Signing NDAs upon request
• Complying with HIPAA and other applicable regulations

Intellectual Property

Client Property: All data, content, and materials you provide remain your property.

Custom Development: Unless otherwise agreed in writing, custom software developed for you becomes your property upon full payment.

Our Property: Our tools, methodologies, and pre-existing materials remain our property.

Service Availability

We strive to maintain high availability for all services:

• Hosting services: 99.9% uptime guarantee
• Support services: Available during business hours (8am-6pm CST)
• Emergency support: 24/7 for contracted clients
• Scheduled maintenance: Communicated in advance

Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the amount paid for services in the preceding 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for data loss due to client negligence or third-party actions
• We are not liable for service interruptions beyond our reasonable control

Indemnification

You agree to indemnify and hold harmless Pedro IT Solutions from any claims, damages, or expenses arising from:

• Your violation of these terms
• Your misuse of our services
• Your violation of any third-party rights
• Any content or data you provide

Termination

By You: You may terminate services with 30 days written notice.

By Us: We may terminate services for non-payment, violation of terms, or with 30 days notice.

Effect: Upon termination, you remain responsible for outstanding payments, and we will assist with reasonable data transition.

Dispute Resolution

Any disputes arising from these terms or our services will be:

• First attempted to be resolved through good-faith negotiation
• Subject to mediation if negotiation fails
• Governed by the laws of the State of Texas
• Subject to exclusive jurisdiction of courts in Ector County, Texas

Modifications

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of modified terms.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
